CP RESTORATION SERVICES — NON-COMPETE & CONFIDENTIALITY AGREEMENT
This Non-Compete and Confidentiality Agreement ("Agreement") is entered into between CP Restoration Services ("Company") and the undersigned contractor ("Contractor").
1. CONFIDENTIAL INFORMATION. Contractor acknowledges that during the course of engagement with CP Restoration Services, Contractor will have access to and become acquainted with confidential and proprietary information including but not limited to: client lists, client contact information, Social Security Numbers, credit report data, dispute strategies, software systems, login credentials, CRM data, pricing structures, sales scripts, training materials, operational procedures, and business strategies ("Confidential Information").
2. NON-DISCLOSURE. Contractor agrees to hold all Confidential Information in strict confidence and not to disclose, share, reproduce, copy, forward, or use any Confidential Information for any purpose outside of the performance of duties for CP Restoration Services. This obligation survives termination of the engagement for a period of two (2) years.
3. NON-COMPETE. During engagement and for a period of twelve (12) months following termination of the engagement for any reason, Contractor agrees not to: (a) directly or indirectly solicit or contact any client of CP Restoration Services for the purpose of providing competing credit repair, dispute processing, or financial services; (b) establish, operate, or participate in any competing credit repair business using knowledge or materials obtained from CP Restoration Services; (c) recruit or solicit any CP Restoration Services employees or contractors to leave the Company.
4. CLIENT DATA PROTECTION. Contractor shall never: share client Social Security Numbers, dates of birth, credit report data, or any Personally Identifiable Information (PII) with any third party; save, screenshot, or store client data on personal devices beyond what is required to perform job duties; use client information for any purpose other than performing agreed services for CP Restoration Services.
5. RETURN OF INFORMATION. Upon termination of the engagement for any reason, Contractor shall immediately return or destroy all Company materials, client data, software access, login credentials, and Confidential Information in Contractor's possession.
6. REMEDIES. Contractor acknowledges that breach of this Agreement will cause irreparable harm to CP Restoration Services for which monetary damages would be inadequate. CP Restoration Services shall be entitled to seek injunctive relief and any other legal remedies available, including recovery of attorneys' fees and costs.
7. GOVERNING LAW. This Agreement shall be governed by the laws of the State of Florida. Any disputes shall be resolved in Broward County, Florida.
By signing below, Contractor acknowledges reading, understanding, and agreeing to all terms of this Non-Compete and Confidentiality Agreement.
